UAE corporate bank account: what banks check and why they say no

Key points

  • The bank checks the people and money behind the company: beneficial owners, source of funds, clients, suppliers, and the countries payments will come from and go to.
  • The core file: licence, founding documents, passports, visas and Emirates IDs of owners and signatories, the lease, a business description with first counterparties, and proof of where the money comes from.
  • The UAE has no ban on accounts for Russian citizens. Refusals come from risk: sanctions screening, Russia-linked payments through correspondent banks, no presence in the UAE, an unclear source of funds.
  • A residence visa and Emirates ID for the owner or manager make opening easier. A company where nobody lives in the UAE has a harder time.
  • One bank's refusal does not mean every bank will refuse. Before the next application, fix what raised questions: the structure, the documents, the model description.

The UAE issues a licence in days; a company account takes weeks. A bank has no duty to take you on or to explain a refusal. It rates the risk under its own compliance rules and those of its correspondent banks, which carry its dollar and euro payments. Russian owners feel this most. Below: what the bank checks, how to build the file, and what to do after a refusal.

What the bank checks

UAE banks must run customer checks (KYC and due diligence) under the anti-money laundering law and Central Bank rules. Every bank works within the same framework, but each sets its own risk appetite.

In practice the bank asks five questions:

  1. Who owns it. Every beneficial owner with 25% or more, their citizenship, residence, sanctions list hits, public positions.
  2. Where the money comes from. The source of the starting capital and of the owner's wealth: a business sale, salary, dividends, inheritance. You need documents.
  3. What the company does. A model the bank can verify: website, contracts, invoices, suppliers, the owner's track record in the field.
  4. With whom, through which countries. A list of clients and suppliers, payment countries, expected monthly turnover.
  5. Presence in the UAE. Office, staff, visas, the manager's local address.

The bank checks every answer against the licence. If the licence activity does not match the stated model, expect a refusal or a request: add an activity to your licence.

Documents

Each bank sets its own list, but the core file looks the same almost everywhere:

  • trade licence and certificate of incorporation;
  • memorandum (MOA) and articles, the resolution appointing the manager, a share certificate or register of members;
  • the beneficial owner (UBO) register;
  • passports, visas and Emirates IDs of all owners with 25% or more and of signatories;
  • proof of address for the owners;
  • office lease or Ejari;
  • a business description: what you sell, to whom, through which countries, expected turnover;
  • contracts or letters of intent with first clients and suppliers;
  • proof of source of funds: statements, a business sale agreement, tax returns, income certificates;
  • CVs of the owners and the manager.

If a foreign parent company sits in the structure, the bank will ask for its documents with an apostille or legalisation and the ownership chain down to individuals: document legalisation for the UAE.

New Central Bank rules for small business from September 2026

Since 13 September 2026, the Central Bank of the UAE's SME Customer Protection Regulation (C 2/2026) applies. For companies in this category it introduces a basic business account and an opening deadline of three business days, counted from the day the client submits the request and all documents. The deadline does not apply when the bank needs more time for financial crime checks, so compliance still outranks the clock.

The regulation requires the bank to keep a register of rejected applications with reasons and to tell the client about the right to go to Sanadak. In practice: ask for the refusal in writing and keep the correspondence.

Why banks refuse Russian owners

The UAE did not join Western sanctions, and no law bars accounts for Russians. Banks refuse on risk grounds:

  • Correspondents. Dollar and euro payments pass through foreign banks. A UAE bank will not put those relationships at risk for a client with Russian payments.
  • Sanctions screening. A name match, links to listed companies or people, suppliers in restricted sectors.
  • Russian payments in the model. If the company plans to receive money from Russia or pay there, the bank will ask through which banks and in which currency. Without a clear answer, it rejects the application.
  • No presence. The owner lives in Russia, the company has no staff or office in the UAE, and it acts as a pass-through with no business of its own.
  • Source of funds. The money came in cash, through crypto with no proven history, or through third parties.

The same reasons lead banks to close accounts that are already open: UAE banks closing accounts of Russians.

How to improve your chances

  • Settle the bank question before registration. Describe the model, counterparties and payment routes before you choose the zone and activity. A licence that matches the model makes the account easier.
  • Get a visa. A residence visa and Emirates ID for the owner or manager is a common informal requirement: investor visa through your own company.
  • Collect evidence of activity. Website, contracts, commercial offers, the owner's experience.
  • Prepare the source of funds. Documents on where the money for the account comes from, translated into English.
  • Answer compliance fast and in full. A slow reply or conflicting explanations often end in refusal.
  • Do not split applications. Filing with several banks at once with different business descriptions shows up in checks.

Digital banks and neobanks for business open accounts online, but they run the same checks. They work well as a first account; their limits and payment country lists are their own.

If the bank refused

The bank records the reason for refusal internally but does not always tell you. What you can do:

  1. Ask the relationship manager which documents or details fell short. Sometimes the fix is simple: a missing contract or proof of address.
  2. Fix the weak point: ownership structure, model description, source of funds.
  3. Apply to another bank with a different risk profile.
  4. If the bank broke its own service rules, complain first to the bank, then to Sanadak, the UAE banking ombudsman: complaint against a bank via Sanadak. Sanadak does not usually overturn a refusal to open an account: that remains the bank's right.

Lucent Legal helps prepare the structure, the document file and the model description before you apply, and supports your dealings with the bank. The bank makes the decision; nobody can guarantee an account will open.

FAQ

How long does it take to open a corporate account in the UAE?

For a small business basic account, the Central Bank regulation in force since 13 September 2026 sets three business days after you submit a complete file, but compliance checks extend that deadline. In practice: from a few days at digital banks to several weeks at traditional ones. The timeline depends on how complete your documents are, the ownership structure, and how many questions compliance raises.

Can I open a company account without a UAE visa?

Some banks formally allow it, but your chances drop. A residence visa and Emirates ID for the owner or manager answer the bank's question about presence in the country.

Why did a UAE bank refuse to open my company account?

Most often: an unclear source of funds, no presence in the UAE, payments with Russia or other higher-risk countries, a model that does not match the licence, or sanctions screening hits. The bank may decline to explain.

What documents do I need for a corporate account in Dubai?

The licence, founding documents, the UBO register, passports, visas and Emirates IDs of owners and signatories, the lease, a business description, counterparty contracts and proof of source of funds. A specific bank may ask for more.

Can a Russian citizen open a corporate account in the UAE in 2026?

Yes, no ban exists. The checks go deeper, and banks differ in their willingness to work with Russian beneficial owners. A prepared file and a clear model without risky payment routes improve your chances.

Can I complain about a refusal to open an account?

Refusal is the bank's right. You complain to the bank, then to Sanadak, when the bank broke its own rules: for example, it froze an open account without notice or holds money after closing it.
