Russian CFC rules for a UAE company owner: what to file with the FNS

Key points

  • Only Russian tax residents have these duties: 183 days or more in Russia over 12 consecutive months. If you lost residency for a year, the CFC rules do not apply to you for that year.
  • A stake above 10%: a notice of participation in a foreign organisation within 3 months. Missing it costs RUB 50,000 per company.
  • A stake above 25% (or above 10% if all Russian residents together hold more than 50%) makes you a controlling person. You file a CFC notice every year by 30 April, even with a loss. Missing it costs RUB 500,000 per CFC.
  • Russia taxes CFC profit only if it exceeds RUB 10 million for the year and no exemption under Art. 25.13-1 of the Tax Code applies.
  • The effective-rate exemption does not work for a UAE company: 9% falls below the threshold of 75% of the weighted average Russian rate. An operating business usually looks at active foreign company status.

If you are a Russian tax resident and own a UAE company, that company almost always becomes your controlled foreign company (CFC, "KIK" in Russian). The CFC rules do not tax the company itself. They give the owner a set of duties: two kinds of notices, documents on profit and, if profit is large and no exemption applies, Russian personal income tax on that profit. A 0% or 9% rate in the UAE does not remove these duties.

When a UAE company becomes a CFC

Under Art. 25.13 of the Russian Tax Code, a CFC is a foreign organisation whose controlling person is a Russian tax resident. You become a controlling person if:

  • your direct or indirect stake exceeds 25%; or
  • your stake exceeds 10% and all Russian residents together own more than 50%; or
  • you control the company another way, deciding how it distributes profit through a contract or other relationship.

An individual's stake includes the stakes of a spouse and minor children. A nominee holder does not shift the duties away from the real owner: control through a contract also counts.

Two notices and the profit documents

What Who files Deadline Fine
Notice of participation in a foreign organisation Russian resident with a stake above 10% 3 months from when the stake arises or changes RUB 50,000 per company (Tax Code Art. 129.6(2))
CFC notice Controlling person Individuals by 30 April, companies by 20 March of the year after the year CFC profit is recognised RUB 500,000 per CFC (Art. 129.6(1))
Documents confirming CFC profit Controlling person Individuals file them with the CFC notice Not filed: RUB 500,000; not filed on request: RUB 1 million
Income tax on CFC profit Controlling person, if the profit is taxable With the annual personal income tax payment Non-payment: 20% of the amount, at least RUB 100,000 (Art. 129.5)

When to file your first CFC notice. CFC profit counts as received on 31 December of the year after the company's financial year. If your UAE company's financial year ended on 31 December 2025, the income is recognised on 31 December 2026, and you file the CFC notice by 30 April 2027.

You file a CFC notice every year while you remain a controlling person, including years with a loss or exempt profit. The profit documents are the company's financial statements and, where UAE law requires an audit, the auditor's report.

When CFC profit is not taxed

The RUB 10 million threshold. CFC profit enters your tax base only if it exceeds RUB 10 million for the year (Art. 25.15). Below that you pay no tax, but you still file the notices.

Exemptions under Art. 25.13-1. The profit is exempt if at least one condition holds, including:

  • the company is an active foreign company: passive income (dividends, interest, royalties, rent and similar) is no more than 20% of total income;
  • the company's effective tax rate is at least 75% of the weighted average Russian profit tax rate. A UAE company at 9% or 0% does not meet this;
  • the company is from a Eurasian Economic Union state (the UAE is not), a licensed bank or insurer, or falls under other special cases.

You support an exemption with documents: the financial statements and a breakdown of income types. For a trading or service company with real operations, the question is usually whether passive income stays within 20%.

Fixed profit. Art. 227.2 of the Tax Code lets an individual pay income tax on a fixed amount of CFC profit instead of the figure from the accounts. Check the conditions and amount in the current version of the Code.

Your personal account versus the company's account

A Russian currency resident notifies the FNS about personal foreign bank accounts and files cash-flow reports on them. You file no such notice for the UAE company's own accounts: the company is a non-resident, and the law covers the resident's own accounts. We found no FNS or Ministry of Finance statement on this exact point. Deadlines and exemptions for personal accounts: notifying the FNS of a UAE account.

What changes if you live in the UAE

CFC duties follow Russian tax residency. If you spent fewer than 183 days in Russia in a year, you are not a tax resident for that year and file no CFC notice for it. Regain residency and the duties come back. How to count days and what the Russia–UAE tax treaty changes from 2026: taxes in the UAE for Russians.

If you sell or transfer your stake, file a notice of change in participation within 3 months: selling a share in a UAE company.

FAQ

Is my UAE company a CFC?

Yes, if you are a Russian tax resident and own more than 25%, or more than 10% while Russian residents together hold over 50%, or you otherwise control how it distributes profit.

When does an individual file the CFC notice?

By 30 April of the year after the year CFC profit is recognised. For a UAE company's 2025 financial year, by 30 April 2027.

What is the fine for not filing a CFC notice?

RUB 500,000 per CFC. Missing the notice of participation in a foreign organisation costs RUB 50,000.

Do I pay Russian tax on my UAE company's profit?

Only if CFC profit exceeds RUB 10 million for the year and no exemption under Art. 25.13-1 applies, for example active foreign company status.

Does the UAE 0% rate exempt me from CFC rules?

No. It also rules out the effective-rate exemption, which needs at least 75% of the weighted average Russian rate; 0% and 9% fall short.

Do I file a CFC notice if I live in the UAE?

Not for a year in which you are not a Russian tax resident (fewer than 183 days in Russia). The duty returns in the year you regain residency.
